Terms and Conditions

These Terms and Conditions (“Agreement”) govern your use of the Shorts AI mobile application (“App”), which is provided by Wild Media Solutions SRL (“Company”). By accessing or using the App, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use the App.

• Registration and Membership

1.1 User Registration: To access the features of the App, you must create an account by completing the registration process. You agree to provide accurate and complete information during registration and keep your login credentials confidential.

1.2 Paid Membership: The App offers various paid membership plans. By subscribing to the paid membership, you gain access to exclusive features in the app.

1.3 Subscription Payments: Payment for the paid membership will be processed through the App’s designated payment gateway. All payment information is securely handled by our third-party payment processor and we do not store any payment details on our servers.

• User Responsibilities

2.1 Compliance with Laws: You agree to use the App in compliance with all applicable laws and regulations. You are solely responsible for any content you post, transmit, or otherwise make available through the App.

2.2 User Conduct: You agree not to engage in any of the following prohibited activities while using the App:

1. a) Violating any applicable laws or regulations;
2. b) Uploading or sharing any content that is unlawful, harmful, defamatory, or infringing on intellectual property rights;
3. c) Impersonating another person or entity;
4. d) Attempting to gain unauthorized access to the App’s servers or other user accounts;
5. e) Interfering with or disrupting the App’s functionality or security measures.

• Intellectual Property

3.1 Ownership: The App, including all its content and intellectual property, is owned by the Company or its licensors and is protected by copyright and other intellectual property laws.

3.2 Limited License: Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes.

3.3 All users must comply with the End User License Agreement (that can be found here: https://getshortsapp.com/storyblocks-end-user-license-agreement/)

3.4 When a user obtains StoryBlocks Stock Files by creating a project in the Shorts AI Video creator app or by searching through the stock video functionality, they are granted the EULA license (“End User License Agreement” or “EULA”). The EULA and its provisions can be found here: https://getshortsapp.com/storyblocks-end-user-license-agreement/. If we have any reason to believe you are violating the EULA, we reserve the right to immediately discontinue all access to Storyblocks for you and notify Storyblocks immediately.

• Disclaimer of Warranties and Limitation of Liability

4.1 Disclaimer of Warranties: The App is provided on an “as is” and “as available” basis without any warranties, express or implied. The Company does not warrant that the App will be error-free or uninterrupted, or that it will meet your specific requirements.

4.2 Limitation of Liability: In no event shall the Company be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the App, even if advised of the possibility of such damages.

• Termination

5.1 Termination by User: You may terminate your account at any time by following the instructions within the App.

5.2 Termination by Company: The Company reserves the right to terminate or suspend your account, without prior notice, for any reason, including but not limited to violation of these terms.

• General Provisions

6.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Romania. Any disputes arising out of or in connection with this Agreement shall be resolved in the courts of Bucharest, Romania.

6.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

6.3 Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding your use of the App and supersedes any prior agreements or understandings.

Content Restrictions

Prohibited Content and Activities

By using Shorts AI – Video Creator app, you agree that you will not create, upload, or distribute content that:

• Promotes or engages in illegal activities, including but not limited to fraud, scams, phishing, identity theft, or other criminal enterprises.
• Contains hate speech, violence, harassment, threats, or material that encourages harm to individuals or groups.
• Involves copyrighted material, trademarks, or intellectual property that you do not have the right to use.
• Contains sexually explicit material, nudity, or any other content considered obscene or inappropriate.
• Spreads false or misleading information that could cause harm or deceive others.
• Encourages or engages in any form of discrimination based on race, ethnicity, gender, religion, sexual orientation, or disability.

Immediate Termination and Reporting:
If you are found to be in violation of these terms, Shorts AI – Video Creator app reserves the right to immediately terminate your account without notice and without refund of any fees or subscriptions paid. Any content related to illegal activities, scams, or fraudulent behavior may be reported to the appropriate legal authorities for further investigation.

Responsible AI Content Creation

Shorts AI – Video Creation app allows users to generate videos through AI-powered scripts, voiceovers, music, and stock imagery based on user prompts. We are committed to fostering ethical and responsible content creation. By using our AI tools, you agree to the following:

• Content Accuracy: You are responsible for reviewing and ensuring the accuracy of the content generated by the AI. While Shorts AI – Video Creation app aims to produce high-quality outputs, AI-generated content may not always be completely accurate, reliable, or up to date.
• Appropriate Use of AI: You agree not to use AI-generated content to promote false, misleading, or harmful information. All content generated and shared through Shorts AI – Video Creation app must be respectful, truthful, and in line with responsible content creation standards.
• Avoidance of Harmful Content: You will not use the AI tools to create content that includes:
  • Hate speech, violence, harassment, or discriminatory language.
  • Misinformation, fake news, or deceptive content.
  • Explicit, offensive, or obscene material.
  • Promotion of illegal activities, scams, or fraudulent behavior.
• User Responsibility: While Shorts AI – Video Creation app provides AI-generated elements (scripts, voiceovers, music, stock imagery), you, as the user, are fully responsible for the final content you create and share. We encourage users to review and, if necessary, modify AI-generated content to ensure it aligns with responsible and ethical content standards.

Monitoring and Compliance:
While Shorts AI – Video Creation app does not actively monitor all content generated on the platform, we reserve the right to review content at our discretion if issues are brought to our attention, or if we believe that there is a potential violation of these terms. In such cases, Shorts AI – Video Creation app may take action, including content removal, account suspension, or termination. Severe violations may also be reported to relevant legal authorities where applicable.

Stock Footage Content restrictions

When using the Application, including any Stock Files provided by Storyblocks, you agree to the following content restrictions:

1. Prohibited Use of Stock Files:
   • Standalone Usage: You may not use or distribute Stock Files as standalone files. Stock Files must be incorporated into a larger, original project created using the Application.
   • No Third-Party Access: You may not provide access to the Stock Files as standalone files for any third party to download, extract, or redistribute.
   • Stockpiling: Stock Files may not be downloaded or stockpiled without being integrated into a project. Bulk downloading through automated scripts or manual collection without legitimate project use is prohibited.
2. Unlawful Content:
   • You may not use Stock Files for any illegal, defamatory, pornographic, or otherwise unlawful purposes, either directly or in context with other media or subject matter.
3. Sensitive Usage:
   • No Harmful Representation: You may not use Stock Files in ways that would be considered offensive, unflattering, or unduly controversial to a reasonable person.
   • No False Claims of Authorship: You may not misrepresent yourself as the original creator of a project where Stock Files are a substantial part of the artistic components.
4. Trademark and Logo Usage:
   • You may not incorporate Stock Files into any logos, trademarks, corporate identities, or service marks.
5. Competing Use:
   • You may not use Stock Files in a way that would compete with Storyblocks, including creating a library of media content for sale or distribution.
6. Prohibited On-Demand Use:
   • You may not use Stock Files in on-demand products (such as t-shirts, mugs, or other customizable items) or in any templates intended for third-party use or mass production.
7. Non-Fungible Tokens (NFTs):
   • The use of Stock Files in connection with NFTs or any other immutable digital assets intended for sale or distribution is strictly prohibited.
8. Restrictions on AI and Machine Learning:
   • Stock Files and their metadata may not be used to train AI or machine learning systems or for biometric identification purposes. However, you are permitted to use AI in the creation of projects as long as the Stock Files are not transformed in a way that competes with Storyblocks.
9. Audio-Based Stock Files:
   • You may use audio Stock Files in your projects, but these files may not be shared on digital streaming platforms (e.g., Spotify, Apple Music) or sold as standalone products. Audio Stock Files may be subject to additional licensing from Performance Rights Organizations (PROs).
10. Identifiable People and Property:
    • If a Stock File includes identifiable people or property, you may only use it if the file is marked as “Model Released” or “Property Released” by Storyblocks. If not, you are responsible for obtaining any necessary release agreements and assume all risks related to the usage.
11. Content Moderation and Removal:
    • The Application reserves the right to review, remove, or revoke access to Stock Files or any user-generated content that violates this agreement or applicable laws. Accounts that repeatedly violate these restrictions may be terminated or suspended.

Acceptance of Terms

The following terms and conditions (these “Terms”) govern your use of the Services via the Shorts AI Video Creator App. By accessing and using any of the Services via the Shorts AI Video Creator app, you accept and agree to be bound and abide by these Terms and the Privacy Policies (defined below). If you do not agree to these Terms or the Privacy Policies, you must not access or use the Shorts AI Video Creator app and the related Services.

Please be aware that your access to the Services is dependent on the availability of cellular service and Internet connectivity for which we are not responsible, as further explained in these Terms.

Intellectual Property Rights.

The Shorts AI Video creator app, the Services and their entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Wild Media Solutions SRL, or our licensors, or other providers of such material and are protected by US and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The Shorts AI Video Creator app name, logo and all related names, logos, product and service names, designs and slogans are trademarks of Wild Media Solutions SRL, or our affiliates or licensors. You must not use such marks without the prior written permission of Wild Media Solutions SRL, as applicable. All other names, logos, product and service names, designs and slogans on the Shorts AI Video Creator are the trademarks of their respective owners.

Product License.

We grant you a personal, non-commercial, non-transferable, revocable right to use the Shorts AI Video Creator mobile app and the Services on mobile devices that you own or control, subject to the other limitations and restrictions in these Terms. You may not rent, lease, lend, sell, redistribute or sublicense the Shorts AI Video Creator mobile app, the Services or any portion thereof. You may not copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Shorts AI Video Creator mobile app or the Services, any updates thereto, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law). These Terms will govern any upgrades that replace and/or supplement the original Shorts AI Video Creator mobile app or Services, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern.

These Terms permit you to use the Shorts AI Video Creator mobile app and the Services for your personal use only, as provided above. You may use the Shorts AI Video Creator mobile app and the Services only for lawful purposes and in accordance with these Terms. As between you and the Wild Media Parties, all rights in the Shorts AI Video Creator mobile app not otherwise granted hereunder are retained by the Wild Media Parties. © Wild Media Solutions SRL 2024.

Privacy Policies.

You agree that all information and data collected from or about you or your mobile device in connection with your use of and access to the Shorts AI Video Creator mobile app may be used by Wild Media in accordance with the policies set forth in this section (our “Privacy Policy”), and you consent to all actions we take with respect to your User Information consistent with our Privacy Policy.

Collection: Wild Media will collect the following data when you use the Shorts AI Video Creator mobile app or the Services (“User Information”):

Information submitted by you using the Shorts AI Video Creator mobile app, such as name, email address, membership number, city, state and zip.

Information automatically collected by the Shorts AI Video Creator mobile app from your device or your cellular service provider, such as your unique device identifier (UDID), telephone number, sending IP address, your device type, operating version, application use and performance data, the date and time of each action you take using the Shorts AI Video Creator mobile app.

Location information provided via the Global Positioning System (GPS) functionality of your device or from your cellular service provider with your opt-in consent.

Use: We may use the User Information for any business purpose, including, but not limited to, processing your requests and transactions, corresponding with you regarding products and services, announcements, promotions, or offerings, furnishing additional products and services to you, personalizing the types of information you receive from us and our service providers, assessing trends in your use of Shorts AI Video Creator mobile app or Services, developing content and functionality that helps to better serve your needs, improving services and products we provide, and engaging in advertising and marketing activities. We may also use that User Information to communicate with you by email, telephone or otherwise.

Sharing/Disclosures: Wild Media may share any User Information with, and/or provide access to User Information in accordance with its own privacy policies, which can be found through getshortsapp.com, and you consent to the sharing with, and use by Wild Media, of such User Information. Further, we may share the information with our service providers, including without limitation other Wild Media affiliated service providers, solely for the purposes of providing you services.

Required Disclosures: We may provide the User Information to third-parties when, in our discretion, circumstances require or justify disclosure. For example: (a) a subpoena, warrant, or order issued by a court, person or body with jurisdiction may compel the production of User Information; (b) we receive a formal request to disclose User Information in connection with a legal action; (c) we believe, in good faith, that a law, regulation or rule requires us to do so; or (d) the information is needed or helpful to address an emergency that threatens the life, health or security of an identifiable person.

Security: The User Information will be stored on servers controlled by Wild Media. It will be retained in accordance with our security and records management policies. The confidentiality, security and integrity of the information will be protected through reasonable physical, administrative and technical safeguards. Although we use such safeguards, we do not make any warranty, express, implied or otherwise that we will be able to prevent loss, misuse, unauthorized access to, or alteration of, User Information or any other information that you provide to us through the Services. By using the Shorts AI Video Creator mobile app, you make any disclosure of your User Information to us at your own risk. We urge you to take every precaution to protect your personal information when you are on the Internet or storing or accessing such information on any handheld device.

Termination.

Your license to use the Shorts AI Video Creator mobile app and Services as described herein is effective until terminated by you or Wild Media. These Terms will continue to apply to the Shorts AI Video Creator mobile app and the Services after termination to the extent that you retain the Shorts AI Video Creator mobile app or attempt to use the Services. Your rights under these Terms will terminate automatically without notice if you fail to comply with any term(s) of these Terms. Upon termination of these Terms, you shall cease all use of the Shorts AI Video Creator mobile app and Services, and destroy all copies, full or partial, of the Shorts AI Video Creator mobile app or the Services.

Wild Media reserves the right to change, suspend, remove, or disable access to the Shorts AI Video Creator mobile app and any Services at any time without notice. In no event will Wild Media be liable for such change to or removal of the Shorts AI Video Creator mobile app or any portion thereof.

Cellular Communications and Internet Access.

Use of the Shorts AI Video Creator mobile app and the Services requires an internet connection and may result in charges from your cellular service provider. Wild Media is not responsible for any such charges. YOU ARE RESPONSIBLE TO OBTAIN CELLULAR AND INTERNET SERVICE NECESSARY TO USE THE Shorts AI Video Creator mobile app AND THE SERVICES. Wild Media DOES NOT WARRANT OR GUARANTEE THAT COMMUNICATION FUNCTIONALITY WILL BE AVAILABLE AT ANY PARTICULAR TIME OR PLACE. Wild Media IS NOT RESPONSIBLE FOR ANY ACTS OR OMISSIONS OF YOUR CELLULAR COMMUNICATION OR INTERNET SERVICE PROVIDERS, OR UNAVAILABILITY OR ERRORS ASSOCIATED WITH THEIR SYSTEMS OR SERVICES.

Third Party Content.

The Shorts AI Video Creator mobile app may display, include or make available content, data, information, applications or materials from third parties (“Third Party Content”) including, for example, third party promotional services to members. Wild Media is not responsible for the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, route practicability or efficiency or any other aspect of such Third Party Content. The Third Party Content may contain proprietary content, information and material that is protected by applicable intellectual property and other laws, including but not limited to copyright and trademark laws. You may not use such proprietary content, information or materials in any way whatsoever except to use the Shorts AI Video Creator mobile app and the Services for their intended purposes as provided herein.

Links.

The Services may contain links to third party websites or online services (“Third Party Websites”). Wild Media does not have any liability or responsibility to you or any other person for Third Party Websites. Wild Media has no responsibility or control over the terms of use or privacy practices of Third Party Websites. You are advised to read the terms of use and privacy notice of any Third Party Websites to which you connect when using the Shorts AI Video Creator mobile app.

Disclaimer of Warranties.

Wild Media takes reasonable steps to provide secure, timely, accurate and complete information through the Shorts AI Video Creator mobile app. However, the information presented on or through the Shorts AI Video Creator mobile app and the Services is made available solely for general information purposes. It is possible that information presented on or through the Shorts AI Video Creator mobile app may be incorrect or not current. Further, the Internet has inherent risks and Wild Media cannot guarantee that your access to and use of the Shorts AI Video Creator mobile app will be uninterrupted or error-free or that the Shorts AI Video Creator mobile app will be free from loss, corruption, attack, interference, hacking or other security intrusion.

If you notice any errors or omissions in the information contained on the Shorts AI Video Creator mobile app or other concerns, please report them to us for investigation.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE Shorts AI Video Creator mobile app AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND Wild Media  HEREBY DISCLAIM ALL WARRANTIES WITH RESPECT TO THE Shorts AI Video Creator mobile app AND ANY SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. Wild Media  DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE Shorts AI Video Creator mobile app, OR PROVIDED BY THE SERVICES, WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE Shorts AI Video Creator mobile app OR THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN

THE Shorts AI Video Creator mobile app OR THE SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY Wild Media OR THEIR AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY. THE ABOVE DISCLAIMERS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

Limitation of Liability.

TO THE FULLEST EXTENT PERMITTED BY LAW, Wild Media,, THEIR PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (THE “Wild Media  PARTIES”) SHALL NOT BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE Shorts AI Video Creator mobile app OR THE SERVICES, INCLUDING BUT NOT LIMITED TO, DAMAGES CAUSED BY YOUR RELIANCE ON THE ACCURACY OR TIMELINESS OF INFORMATION PROVIDED THROUGH THE Shorts AI Video Creator mobile app OR THE SERVICES OR YOUR PROVISION OF YOUR INFORMATION TO THE Shorts AI Video Creator mobile app OR THE SERVICES, EXCEPT THAT THE FOREGOING SHALL NOT PRECLUDE RECOVERY OF DAMAGES FOR PERSONAL INJURY, LOSS OR DAMAGE TO PERSONAL PROPERTY, OR UNAUTHORIZED USE OR DISCLOSURE OF PERSONALLY IDENTIFIABLE INFORMATION CAUSED BY THE Wild Media  PARTIES’ NEGLIGENCE, GROSS NEGLIGENCE, RECKLESSNESS, FRAUD OR OTHER WILFUL, UNCONSCIONABLE OR INTENTIONAL MISCONDUCT. NOTHING HEREIN SHALL BE CONSTRUED TO LIMIT THE CLEARLY ESTABLISHED LEGAL RIGHT OF A CONSUMER TO RECOVER ATTORNEYS’ FEES OR OTHER REMEDIES AFFORDED BY STATUTE OR OTHER LAW.

Export.

You may not use or otherwise export or re-export the Shorts AI Video Creator mobile app except as authorized by United States law and the laws of the jurisdiction in which the Shorts AI Video Creator mobile app was obtained. In particular, but without limitation, the Shorts AI Video Creator mobile app may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List.

Use by Minors.

The Shorts AI Video Creator mobile app is not intended for use by minor children under the age of 16. The Wild Media Parties do not knowingly collect or solicit through the Shorts AI Video Creator mobile app or Services any information relating to anyone under the age of 16. When you use the Shorts AI Video Creator mobile app and Services or provide personal information through the Shorts AI Video Creator mobile app, you are representing that you are not under the age of 16. If you are under 18 years old, you may not use the Shorts AI Video Creator mobile app or the Services without permission of a parent or guardian.

The Wild Media Parties believe that content available through the Shorts AI Video Creator mobile app does not contain any imagery or terminology that could be considered targeting children and Wild Media does not direct interest-based advertising to children.

If you believe we might have collected through the Shorts AI Video Creator mobile app any information from or about a child under the age of 16, or you believe that any content available through the Product is inappropriate for children, please contact us as provided below. If we learn that we have inadvertently collected or received personal information from a child under the age of 16 without verification of parental consent, we will take steps to delete that information as soon as possible.

Governing Law and Jurisdiction.

These Terms of Use will be governed by the internal substantive laws of, Romania, without regard to its conflict of law provisions
